These Terms of Use govern your use of northaspectpartners.com (the "Site"), which is operated by North Aspect Partners, LLC ("North Aspect," "we," "us"). By using the Site or scheduling a conversation through it, you agree to these Terms. If you do not agree, please do not use the Site.
1. About the Site
The Site provides general information about North Aspect's independent corporate development and transaction advisory practice, and a way to contact us or schedule an introductory conversation. It is informational only.
North Aspect Partners is not a registered broker-dealer or investment adviser and does not act as a placement agent. In financing engagements, North Aspect works solely for the company. It does not identify, solicit, or introduce investors; negotiate with investors; distribute offering materials; or handle funds or securities. North Aspect does not accept compensation that is contingent on, or measured by, the completion or size of any financing or other transaction, and does not provide legal, tax, accounting, or investment advice.
2. No relationship is formed through the Site
Visiting the Site, sending us an email, scheduling a meeting, or having an introductory conversation does not create a client, advisory, fiduciary, or other professional relationship with North Aspect.
A relationship begins only when North Aspect and a company sign a written engagement agreement. The services, terms, and limits of any engagement are set by that agreement, not by the Site.
3. No offer, no advice, no reliance
Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security. Nothing on the Site is an offer to provide investment, legal, tax, or accounting services, or any service outside North Aspect's stated scope. Descriptions of North Aspect's services are general; the services provided to any company are defined only by a signed engagement agreement.
The content of the Site is general and may not reflect current developments. It is not advice about any transaction, investment, or legal, tax, or accounting matter, and you should not act or rely on it as such. Consult your own qualified advisers about your circumstances. Descriptions of prior transaction experience refer to roles held at other companies and firms and are not a promise or prediction of any outcome.
4. Unsolicited information
Do not send confidential, non-public, or transaction-specific information through the Site, by email, or in booking questions before an introductory conversation. Do not send material non-public information about any public company.
Information you send before North Aspect signs an engagement agreement or a separate written confidentiality agreement with you is not received in confidence, and receiving it does not create a confidential, client, or fiduciary relationship. It will not prevent North Aspect from working with any other company, including one in your industry or on the other side of a transaction you are considering. We handle personal information as described in our Privacy Policy, and we may delete unsolicited information without reviewing it.
5. Permitted use
You may use the Site for your own informational and internal business purposes. You may not:
copy, modify, distribute, or create derivative works from Site content, except to share a link or a brief excerpt with attribution;
use bots, scrapers, or other automated means to access or collect Site content, including to train artificial intelligence models;
interfere with the Site's operation or security, or attempt to gain unauthorized access to it;
frame the Site or imply any affiliation with or endorsement by North Aspect; or
use the Site for any unlawful purpose.
6. Intellectual property
The Site and its content, including text, graphics, design, and the North Aspect Partners name and logo, are owned by North Aspect or its licensors and protected by intellectual-property laws. Except as permitted in Section 5, no rights are granted to you.
7. Third-party services and links
The Site uses third-party services, including Calendly for scheduling, and links to third-party websites such as LinkedIn. Your use of those services is governed by their own terms and privacy policies. North Aspect is not responsible for third-party services or websites and does not endorse their content.
8. Privacy
Our Privacy Policy, at northaspectpartners.com/legal/privacy, explains how we handle information collected through the Site, by email, and through scheduling.
9. Disclaimer of warranties
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NORTH ASPECT AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
This Section does not limit liability that cannot be limited under applicable law, and it does not apply to services provided under a signed engagement agreement, which governs those services.
11. Indemnification
You agree to indemnify and hold harmless North Aspect from third-party claims, and related losses and reasonable expenses, including attorneys' fees, arising from your violation of Section 5 or your unlawful use of the Site.
12. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY SUCH DISPUTE.
13. Changes to these Terms
We may update these Terms by posting a revised version on this page and changing the "Last updated" date above. Changes apply from the date they are posted and do not apply to disputes arising before that date. Your continued use of the Site after a change means you accept the revised Terms.
14. General
If any provision of these Terms is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and North Aspect about the Site. If you are a client, your engagement agreement governs North Aspect's services and controls over these Terms.
